1. Introduction and Acceptance of Terms

Welcome to ToolaBrowser. These Terms of Service ("Terms") govern your access to and use of ToolaBrowser desktop browser software and related services (collectively, the "Service") provided by ToolaBrowser Ltd ("we," "us," or "our"), a company incorporated and operating in Israel.

By downloading, installing, accessing, or using ToolaBrowser, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and ToolaBrowser Ltd.

2. Amendments to Terms

We reserve the right to modify, amend, or update these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last updated" date
• Displaying a notice within the ToolaBrowser application
• Sending an email notification to registered users (if applicable)

Your continued use of ToolaBrowser after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of the Service immediately.

We recommend reviewing these Terms periodically to stay informed of any updates.

3. Eligibility

You must be at least 18 years of age to use ToolaBrowser. By using the Service, you represent and warrant that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable laws
• All information you provide to us is accurate and truthful

If you are using ToolaBrowser on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Description of Service

ToolaBrowser is a Chromium-based desktop web browser for Windows operating systems with integrated file conversion capabilities. The Service includes:

• Web Browsing: Full-featured internet browsing based on the Chromium open-source project
• File Conversion: Conversion of files across 200+ formats, including documents, images, spreadsheets, presentations, eBooks, and design files
• CloudConvert Integration: File conversion powered by the CloudConvert SDK
• Privacy Features: No file storage after conversion, privacy-focused design

The Service is provided free of charge and does not require user registration or account creation for basic functionality.

Service Availability: We strive to provide uninterrupted access to the Service but do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

5. License Grant

Subject to your compliance with these Terms, ToolaBrowser Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

• Download and install ToolaBrowser on devices you own or control
• Use ToolaBrowser for lawful, personal, or business purposes
• Access and use the file conversion features integrated within the browser

This license is granted solely for your personal or internal business use and does not include the right to:

• Sublicense, sell, rent, lease, or distribute ToolaBrowser to third parties
• Use ToolaBrowser for any commercial purpose beyond your own business operations
• Modify, alter, or create derivative works based on ToolaBrowser

6. Restrictions on Use

You agree that you will NOT:

• Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code of ToolaBrowser, except to the extent permitted by applicable law
• Circumvent Security: Bypass, disable, or interfere with any security features or access controls
• Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, systems, or networks
• Commercial Exploitation: Resell, redistribute, or commercially exploit the Service without our express written permission
• Harmful Activities: Use the Service to transmit viruses, malware, or any harmful code
• Illegal Content: Use the Service to convert, store, or transmit content that is illegal, infringing, defamatory, or violates the rights of others
• Abuse: Overload, spam, or abuse the Service in any way that degrades performance for other users
• Automated Access: Use bots, scrapers, or automated tools to access the Service without permission

Violation of these restrictions may result in immediate termination of your license and legal action.

7. User Representations and Warranties

By using ToolaBrowser, you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to convert any files you upload to the Service
• Your use of the Service does not and will not violate any applicable laws, regulations, or third-party rights
• You will not use the Service to infringe upon intellectual property rights, including copyrights, trademarks, patents, or trade secrets
• Files you convert do not contain malicious code, viruses, or harmful components
• You are solely responsible for ensuring that your use of the Service complies with all applicable laws in your jurisdiction

8. Intellectual Property Rights

8.1 Our Intellectual Property

ToolaBrowser, including its design, code, features, branding, and documentation, is protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in and to ToolaBrowser remain with ToolaBrowser Ltd and its licensors.

The ToolaBrowser name, logo, and all related trademarks are the property of ToolaBrowser Ltd. You may not use our trademarks without our prior written consent.

8.2 Third-Party Intellectual Property

ToolaBrowser incorporates third-party software and services, including:

• Chromium: Open-source browser project licensed under the BSD license and other open-source licenses
• CloudConvert SDK: File conversion service subject to CloudConvert's terms and conditions

Your use of these third-party components is subject to their respective licenses and terms.

8.3 Your Content

You retain all ownership rights to files you convert using ToolaBrowser. We do not claim any ownership or rights to your files. However, by using the conversion service, you grant us a limited, temporary license to process your files solely for the purpose of providing the conversion service.

As stated in our Privacy Policy, we do not store your files after conversion is complete.

9. Third-Party Services and Links

ToolaBrowser integrates third-party services, including CloudConvert for file conversion, and may contain links to third-party websites or resources.

Important Disclaimers:

• We do not control, endorse, or assume responsibility for any third-party services, websites, or content
• Your use of third-party services is governed by their respective terms of service and privacy policies
• We are not liable for any damages or losses resulting from your use of third-party services
• Third-party services may collect data independently; please review their privacy policies

The inclusion of any link or integration does not imply our endorsement or affiliation with the third party.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOLABROWSER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability: No warranty that the Service is suitable for any particular purpose
• Fitness for Purpose: No warranty that the Service will meet your specific requirements
• Non-Infringement: No warranty that the Service does not infringe third-party rights
• Accuracy: No warranty regarding the accuracy or reliability of conversion results
• Availability: No warranty of uninterrupted, timely, secure, or error-free operation
• Data Security: No warranty that the Service is free from viruses or harmful components

You acknowledge that your use of ToolaBrowser is at your sole risk. We do not guarantee that file conversions will be accurate, complete, or error-free. You are responsible for verifying conversion results.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOLABROWSER LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes, but is not limited to, damages for:

• Loss of profits, revenue, or business opportunities
• Loss of data or files
• Business interruption
• Loss of goodwill or reputation
• Any other intangible losses

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. Since ToolaBrowser is provided free of charge, our maximum liability is zero (0).

These limitations apply regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless ToolaBrowser Ltd, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Your violation of any applicable laws or regulations
• Files you upload, convert, or transmit through the Service
• Any breach of your representations and warranties

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

13. Termination

13.1 Termination by You

You may terminate your use of ToolaBrowser at any time by uninstalling the software from your device(s).

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Actions that harm or threaten to harm other users or the Service
• Requests by law enforcement or government agencies

13.3 Effect of Termination

Upon termination:

• Your license to use ToolaBrowser immediately terminates
• You must cease all use of the Service and uninstall the software
• Sections of these Terms that by their nature should survive termination shall remain in effect, including intellectual property provisions, disclaimers, limitations of liability, and indemnification

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

14.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts of Israel. You consent to the personal jurisdiction and venue of such courts.

14.3 Dispute Resolution

Before filing any legal claim, you agree to first contact us at legal@toolabrowser.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.4 No Class Actions

You agree to bring any claims against us only in your individual capacity and not as part of any class or representative action. We both waive any right to a jury trial.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and ToolaBrowser Ltd regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or internet failures.

15.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of ToolaBrowser. You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country.
